Abstract

The article examines the theoretical and practical aspects of corporate governance as a strategic tool for ensuring the economic security of an enterprise under conditions of global transformations, digitalization of the economy, and crisis challenges. The essence of corporate governance is defined as a multi-level system of organizational, economic, legal, and managerial relations between owners, management bodies, employees, investors, and other stakeholders of the enterprise. The main principles of corporate governance, including transparency, accountability, responsibility, efficiency of managerial decision-making, and balance of stakeholders’ interests, are analyzed, as well as their influence on the formation of the enterprise’s economic security system.

It is substantiated that effective corporate governance acts as a system-forming element of the enterprise security policy and ensures financial stability, risk management, investment attractiveness, and the ability of the enterprise to adapt to crisis conditions. Particular attention is paid to personnel challenges in the corporate governance system, including staff instability, shortage of highly qualified specialists, professional migration, low employee motivation, and insufficient digital competencies of employees. It is established that human capital is one of the key factors in ensuring the economic sustainability of an enterprise.

The impact of digitalization on the transformation of corporate governance and mechanisms for ensuring economic security is investigated. The role of digital risk management systems, internal control, compliance systems, cybersecurity, artificial intelligence technologies, and big data in improving managerial decision-making and minimizing economic risks is determined. It is concluded that modern corporate governance should be based on innovative digital approaches, strategic human capital management, and a comprehensive system for protecting the economic interests of the enterprise.
